These Terms and Conditions, along with privacy policy or other terms (“Terms”) constitute a binding agreement by and between Horizon View, (“Website Owner” or “we” or “us” or “our”) and you (“you” or “your”) and relate to your use of our website, goods (as applicable) or services (as applicable) (collectively, “Services”).

By using our website and availing the Services, you agree that you have read and accepted these Terms (including the Privacy Policy). We reserve the right to modify these Terms at any time and without assigning any reason. It is your responsibility to periodically review these Terms to stay informed of updates.

The use of this website or availing of our Services is subject to the following terms of use:

Project Scope, Change Control and Related Policies

• Scope of Work

The scope of work for every project shall be strictly limited to the features, functionalities, modules, integrations, deliverables, timelines, and services expressly mentioned in the approved proposal, quotation, Statement of Work (SOW), or any other written agreement executed between Horizon View and the Client.

Any requirement, functionality, module, workflow, report, dashboard, integration, automation, user role, API, screen, business process, or service that is not specifically documented in the approved proposal shall be deemed outside the agreed project scope. No assumptions shall be made regarding the inclusion of any feature or functionality unless expressly stated in writing.

• Out of Scope

Unless specifically included in the approved proposal, the following shall be considered outside the project scope:

  • Additional modules or business functions.
  • New departments, branches, or business units.
  • Additional user roles or permission structures.
  • Workflow modifications.
  • Custom reports, dashboards, analytics, or exports.
  • Third-party integrations.
  • AI-powered functionality.
  • Mobile applications.
  • Desktop applications.
  • Additional languages or localisation.
  • Data migration beyond the agreed scope.
  • Infrastructure management.
  • Performance optimisation beyond standard implementation.
  • Compliance requirements introduced after project commencement.
  • Any new business requirement not documented during requirement gathering.

Out-of-scope requests shall be handled through the Change Request process.

• Requirement Gathering & Approval

The Client shall provide complete business requirements, process documentation, workflows, branding assets, content, and any other information required for project execution during the requirement gathering phase.

Once the documented requirements are reviewed and approved by the Client, they shall be considered final for development purposes.

• Requirement Freeze

Following approval of the requirements, the project requirements shall be deemed frozen. Any modification, enhancement, addition, removal, or alteration requested after the Requirement Freeze shall be treated as a Change Request and may affect the commercial value and delivery timeline.

• Change Request (CR) Policy

Any request that changes, extends, modifies, or enhances the approved project scope shall be treated as a Change Request (CR).

Examples include but are not limited to:

  • New features.
  • New modules.
  • Workflow modifications.
  • UI/UX redesigns.
  • Business logic changes.
  • Additional integrations.
  • Additional reports or dashboards.
  • Additional approval processes.
  • Additional automations.
  • Additional user roles.
  • Department-specific functionality.
  • Changes arising from newly identified business requirements.

Each Change Request shall undergo technical evaluation before implementation.

• Commercial Policy for Additional Scope

All Change Requests shall be estimated separately.

A revised commercial proposal shall be shared with the Client detailing:

  • Scope of additional work.
  • Estimated development effort.
  • Additional project cost.
  • Revised implementation timeline.
  • Dependencies, if any.

Development of any additional scope shall commence only after written approval from the Client.

• Timeline & Delivery

Project timelines mentioned in the approved proposal are applicable only to the agreed project scope.

Any approved Change Request, delayed approvals, delayed content submission, delayed feedback, or dependency from the Client may result in corresponding extensions to the delivery schedule.

Horizon View shall not be held responsible for delays caused due to incomplete information or delayed responses from the Client or any third party.

• Design & Revision Policy

Minor revisions during the design approval phase are included within the project scope.

However, the following may attract additional charges:

  • Major redesign requests after approval.
  • Multiple revision cycles beyond the agreed revisions.
  • Functional changes requested during the design stage.
  • Complete redesign of approved interfaces.
  • Design modifications requested after development has commenced.

• Third-Party Services

Unless expressly included within the proposal, the following are excluded from the project cost:

  • Domain registration.
  • Web hosting.
  • Cloud infrastructure.
  • SSL certificates.
  • SMS gateway charges.
  • WhatsApp Business API charges.
  • Email service providers.
  • Payment gateway fees.
  • Google Maps APIs.
  • AI APIs including OpenAI, Gemini, Claude, or similar services.
  • OTP providers.
  • Software licences.
  • Marketplace subscriptions.
  • Any third-party recurring subscription.

The Client shall bear all third-party subscription, licensing, and usage charges unless otherwise agreed in writing.

• Client Responsibilities

The Client agrees to:

  • Provide complete and accurate requirements.
  • Nominate authorised decision-makers.
  • Provide timely approvals.
  • Supply logos, content, images, documents, licences, and credentials as required.
  • Review project deliverables within the agreed review period.
  • Raise observations promptly during the review process.
  • Make payments as per the agreed commercial terms.

Failure to fulfil these responsibilities may impact the project timeline.

• User Acceptance Testing (UAT)

The Client shall perform User Acceptance Testing (UAT) upon completion of the agreed development scope.

Any defects that deviate from the approved scope shall be rectified without additional commercial implications.

Requests for enhancements, new functionality, or workflow changes identified during or after UAT shall be treated as Change Requests.

• Deployment & Go-Live

Upon successful completion of UAT and receipt of all pending payments, Horizon View shall deploy the solution in accordance with the agreed deployment plan.

Go-Live signifies completion of the agreed scope of work.

Any new enhancement requested after Go-Live shall be considered a separate engagement.

• Maintenance & Support

Maintenance services shall only be provided if expressly included within the approved proposal or covered under a separate Maintenance Agreement.

Maintenance shall generally include bug fixes related to the delivered scope and shall not include development of new functionality or enhancements.

• Proposal Interpretation

Only the features, deliverables, timelines, and commercial terms expressly documented in the approved proposal shall be considered contractually included.

No implied functionality shall be assumed based on discussions, demonstrations, competitor products, industry practices, or expectations unless expressly documented in writing.

• Limitation of Liability

Horizon View shall not be responsible for any loss, delay, operational disruption, or commercial impact arising from:

  • Changes requested outside the agreed scope.
  • Delay in approvals by the Client.
  • Incorrect or incomplete information provided by the Client.
  • Failure of third-party platforms or services.
  • Regulatory changes introduced after project commencement.
  • Force Majeure events.

• Acceptance of Proposal

Approval of the proposal, issuance of a Purchase Order, execution of an agreement, commencement of work, or payment of any advance amount shall constitute full acceptance of:

  • The approved proposal.
  • These Terms & Conditions.
  • This Software Development & Project Execution Policy.
  • The commercial terms.
  • The project scope.
  • The Change Request Policy.

The Client acknowledges that they have read, understood, and agreed to all applicable policies before commencement of the project.

• Governing Principle

This policy has been established to ensure transparent communication, clear scope definition, controlled project execution, fair commercial practices, timely delivery, and successful project outcomes for both Horizon View and its Clients.

Both parties agree to act in good faith and cooperate throughout the project lifecycle to achieve the objectives outlined in the approved proposal.
